Terms of Use

These Terms of Use ("Terms") govern your access to and use of Huddle (the "Service"), operated by Wyvern Studio Ltd ("we", "us", or "our"). By creating an account or using Huddle, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Definitions

• "Workspace" means a private organisation space within Huddle, created by an administrator.
• "Member" means a user invited to and participating in a workspace.
• "Administrator" means the user who creates a workspace or is promoted to manage it.
• "Content" means any text, images, polls, votes, messages, or other material posted or shared within Huddle.

2. Eligibility and Accounts

You must be at least 16 years old and have the legal capacity to enter into these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information and keep it updated.

3. Description of Service

Huddle provides a private social network for workplaces, including feeds, polls, daily debates, mood check-ins, coffee roulette matching, events, messaging, shoutouts, and anonymous suggestions. The Service is provided on a subscription basis with a 14-day free trial for new workspaces.

4. Subscription and Billing

4.1 Free trial

New workspaces receive a 14-day free trial. You must provide a valid payment method to start the trial. No charge is applied during the trial period. If you cancel before the trial ends, no fees are due.

4.2 Plans

After the trial, your selected plan (Starter, Team, Business, or Enterprise) is billed monthly or annually, as chosen. Prices are displayed at the point of subscription and may be changed with at least 30 days' notice.

4.3 Payment

Payments are processed by Stripe. You authorise us to charge your payment method for all fees associated with your subscription. If a payment fails, we may suspend access until payment is resolved.

4.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

5. Acceptable Use

You agree not to:

• Use Huddle to harass, bully, discriminate against, or harm any person.
• Post content that is unlawful, defamatory, obscene, infringing, or otherwise objectionable.
• Impersonate another person or misrepresent your affiliation.
• Attempt to gain unauthorised access to any part of Huddle or its systems.
• Interfere with the proper functioning of the Service or introduce malware or harmful code.
• Scrape, copy, or extract data from Huddle using automated means without our written consent.
• Use Huddle for any illegal or unauthorised purpose.

Violations may result in content removal, account suspension, or termination, at our discretion.

6. User Content

You retain ownership of Content you post. By posting, you grant us a non-exclusive, royalty-free licence to host, store, display, and process your Content within Huddle for the purpose of operating the Service. You are solely responsible for your Content and represent that you have all rights to post it. We reserve the right to remove Content that violates these Terms or applicable law.

7. Anonymous Features

Certain features, such as anonymous suggestions and mood check-ins, are designed to protect user identity. We use reasonable measures to maintain anonymity, but no system is foolproof. We are not liable for any breach of anonymity resulting from external factors or misuse.

8. Intellectual Property

Huddle, including its software, design, branding, and features, is the property of Wyvern Studio Ltd and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or proprietary technology.

9. Privacy

Your use of Huddle is also governed by our Privacy Notice, which describes how we collect and handle your personal data.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that Huddle will be uninterrupted, error-free, or secure. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

11. Limitation of Liability

To the maximum extent permitted by law, Wyvern Studio Ltd shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of Huddle. Our total liability for any claim arising from these Terms shall not exceed the amount you paid in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Wyvern Studio Ltd, its officers, and employees from any claims, damages, or expenses arising from your Content, your breach of these Terms, or your misuse of the Service.

13. Termination

You may close your account at any time. We may suspend or terminate your access if you violate these Terms or for any other reason with reasonable notice. Upon termination, your right to use Huddle ceases. Provisions that by their nature should survive termination (including ownership, disclaimers, and limitation of liability) remain in effect.

14. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms within Huddle or by email. Continued use of Huddle after changes take effect constitutes acceptance of the revised Terms.
